Company Law

Our activities as lawyers and notary publics in company law are for example:

• The foundation of companies by including employment, tax and inheritance law as well as common issues of intellectual property law;
• the draft of articles of association (if applicable also looking ahead regarding the implementation of successor planning under inheritance law);
• the draft of share purchase and assignment contracts;
• the negotiation and draft of company purchase contracts (Share Deal or Asset Deal) and restructuring;
• the implementation of capital measures (capital increase, capital reduction);
• the spin-off, merger, change in form and the asset assignment according to the German Transformation Act;
• the conducting of proceedings and out-of-court representation with company-internal disputes (shareholder disputes, objection of resolutions, etc.);
• the preparation and accompaniment of shareholders’ meetings and General Meetings as well as
• the applications for the Commercial Registers of companies.
